Following a recent survey conducted with Novus—which revealed that Swedish investors are falling behind in crypto adoption, with only 9% having ventured into crypto investments compared to the European average of 12%—CoinShares is taking proactive steps to bridge this gap.

The CoinShares Crypto Puppies campaign, created by the Swedish agency Save our Souls, leverages a unique cultural insight: Swedes' profound love for dogs. Based on insurance statistics, Swedes seem to be more invested in their relationships with their dogs than those in other Nordic countries; 90% of Swedish dog owners have their pets insured, topping global charts. Sweden boasts some of the strictest animal welfare laws globally, reflecting a high societal value placed on animal life and well-being. Swedes even rate their dogs as better comforters than their partners. By tapping into this deep-seated affinity, the campaign seeks to create an unexpected yet heartwarming connection with crypto and foster a more nuanced discussion. This integrated campaign will run for over a month, featuring digital videos, billboard ads, print ads in prominent financial magazines, wild postings, and influencer partnerships.

Swedish Investors Lag Behind European Peers in Cryptocurrency Adoption, with a Significant Gender Disparity in Participation

7th November 2024 | SAINT HELIER, Jersey | CoinShares International Limited (“CoinShares” eller “Koncernen”) (Nasdaq Stockholm: CS; US OTCQX: CNSRF), Europe’s leading investment firm specialising in digital assets, today announced findings from a new survey conducted with Novus, revealing that Swedish investors lag significantly in cryptocurrency adoption compared to their European peers. While only 9% of Swedish investors have ventured into crypto, the gender gap is stark, with men six times more likely to invest in digital assets than women. Notably, 8% of female investors¹ in Europe have invested in crypto at least once, compared to only 2% in Sweden.

Bitcoin has delivered an average annual return of 103% between 2015 and 2022, considerably outperforming the Stockholm Stock Exchange's 10% average. Studies show that adding bitcoin to portfolios has enhanced risk-adjusted returns compared to other alternative assets, yet Swedish retail participation remains low. Among Swedish respondents, 16% of men reported investing in crypto at least once, while only 2% of women have done the same. Among men aged 18-34, that proportion climbs to 30%.

“Established players have broadly vilified cryptocurrency, as reflected in these survey results. Negative news around criminal activity and excessive volatility have been amplified, deterring ordinary investors—particularly women—and leaving Swedish investors lagging behind their European counterparts. Seeing Sweden fall behind after leading as early as 2015 is disconcerting. Moreover, seeing the traditional divide between men and women being replicated in 2024 is even more alarming,” stated Jean-Marie Mognetti, CoinShares' CEO.

One in Three Swedes Open but Uncertain About Crypto

The survey highlights a large, hesitant segment, with nearly 30% of respondents undecided about crypto investments. Gender differences are also evident here: 22% of men aged 18-34 express interest in crypto, compared to only 6% of women in the same age group.

The primary obstacle for women remains knowledge, with 58% of those surveyed stating they lack sufficient understanding of how crypto works, compared to 50% of men.

“Two critical deficiencies exist. First, a knowledge deficit, which all cryptocurrency stakeholders, opinion leaders, and the Swedish media must address through educational programmes to uphold Sweden's position as a centre of excellence in Europe, as demonstrated by the success of Swedish tech startups over the last 30 years. Secondly, a gender disparity, with Swedish women investors lagging behind both their male counterparts and other Western European women. CoinShares aims to tackle this imbalance by supporting initiatives for women investors, particularly those led by female finance and technology influencers who can inspire future generations,” Mognetti added.

Q3 2024 operational highlights

Asset Management: The CoinShares Physical ETP platform closed the quarter with nearly $80 million in net flows, marking its second-largest quarterly inflow since 2021. We launched a new multi-asset ETP in partnership with finanzen.net to enhance our visibility in the German retail market. In the United States, the CoinShares-Valkyrie business line had its second-best quarter, achieving $61 million in net inflows, mainly from BRRR and WGMI products. Integration of this business line into the wider CoinShares Group is largely complete, and we anticipate it becoming a meaningful contributor to overall Group value, with full stride expected in 2025.
Capital Markets & Hedge Fund Solutions: Following the successful rollout of our algorithmic trading platform, MATRIX, our development team is optimising its performance and connectivity, enabling signal ingestion from multiple sources and opening doors to new collaborations. This allows our quantitative research team to focus on new alpha generation strategies to drive future performance for our Capital Markets and Funds divisions. Concurrently, our Hedge Fund Solutions division is preparing to launch an equity long-short fund focused on crypto equities, leveraging our BLOCK Index expertise; the product is ready to launch pending market demand, currently being assessed by our sales teams in the United States and Europe.

Principal Investments: Despite a decrease of approximately £1.9 million in the Group’s Principal Investment portfolio during Q3—primarily due to an extension of the CS2 fund's life that delays the receipt of our recognized carried interest and results in a corresponding discount—we have observed positive developments in some of our smaller investments. These include the conversion of one of our SAFEs (Station 70) and the change in status of GTSA to that of an Electronic Money Institution.
Accounting Policy Change: An important development this quarter concerns our accounting policies for digital asset holdings; historically, our financial statements were distorted by classifying digital assets as intangibles under IFRS, resulting in profit or loss after tax figures that differed markedly from our total comprehensive income and impacting the readability of our accounts. As our organisation has evolved and our activities have diversified significantly, we are now able to classify our digital assets so that their fair value movements are taken through profit and loss, allowing us to present financial statements that provide a more understandable view of our financial performance—easily reconciled to our EBITDA—a transition we've been eager to make and are pleased to have finally achieved.

CoinShares Announces Exercise of Employee Incentive Plan Options

24 September 2024 | SAINT HELIER, Jersey | CoinShares International Limited ("CoinShares" or the "Company") (Nasdaq Stockholm: CS; US OTCQX: CNSRF), the leading European investment company specialising in digital assets, indicated a distribution to shareholders would be considered within the parameters of the newly adopted dividend policy.

Further to the announcement dated 12 April 2024 regarding the Company’s dividend distribution for the financial year 2023 (“Regular Dividend”) and the announcements dated 12 July 2024 and 22 July 2024 regarding the decision to distribute a special dividend following the sale of the Company’s FTX claim (“Special Dividend”), the Company now provides some additional details on the forthcoming payments.

The Special Dividend will be paid in conjunction with Tranche 3 of the Company’s forthcoming Regular Dividend payment, introduced earlier this year. The details for the remaining two Regular Dividend payments for 2024 in respect of the financial performance of 2023 are as follows:

As the Special Dividend will be paid together with Tranche 3, each of the Ex-dividend date, Record date and Payment date for the Special Dividend Payment will be as disclosed in the table above.

The total amount to be paid together with Tranche 3 on or around 3 October 2024 will be the combined amount of the Special Dividend (GBP 23,647,260.89) and Regular Dividend (GBP 2,312,623), totalling GBP 25,959,883.89 and representing GBP 0.3894 per ordinary share to be paid from the Company’s reserves. The dividend to holders of ordinary shares will be made in sterling (GBP) and subsequently, before distribution to shareholders who hold ordinary shares via Euroclear Sweden, has been converted to SEK at a rate of GBP/SEK 13.4938 resulting in a dividend per share via Euroclear Sweden of SEK 5.2557.

In accordance with Article 115(4) of the Companies (Jersey) Law 1991, each payment will be subject to an assessment of the financial health of the Company by its Board.

CoinShares Announces Q2 2024 Results

12 August 2024 | SAINT HELIER, Jersey | CoinShares International Limited (“CoinShares'' or “the Company”) (Nasdaq Stockholm: CS; US OTCQX: CNSRF).

On 12 August 2024, a total of 25,490 options in the Company’s Employee Incentive Plan - November 2020 Tranche have been exercised for the corresponding number of shares, at an exercise price of GBP 1.43 (SEK 18.96) per share. Through the exercise of the employee share options, the Company receives a total of GBP 36,450.70 (SEK 483,336.28).

The issuance of these shares will be registered with Euroclear Sweden and the Company’s Registrar as soon as possible. After the issuance of these shares and the cancellation of own shares announced on 14 February 2024, the total number of shares in issue in CoinShares will be 66,566,630 and the total number of votes attached to the shares will be 66,566,630. Following registration of the cancellation as announced on 14 February 2024, the Company will hold no treasury shares.

Capital Markets & Hedge Fund Solutions: CoinShares' Capital Markets division adeptly navigated the market dynamics of the second quarter, capturing opportunities despite non-trending conditions that featured offsetting events like the Iran-Israel conflict and anticipation of U.S. spot Ethereum ETP listings. While the Hedge Fund Solutions division's short volatility strategies met risk tolerances but did not outperform the underlying assets, the firm remains confident in the long-term potential given declining macro risks and the forthcoming spot Ethereum ETPs. Importantly, the CoinShares Engineering and Quant team delivered the advanced MATRIX trading and risk platform, which is poised to drive the next phase of growth and sophistication across the Capital Markets and Hedge Fund Solutions businesses.
FTX Claim Recovery: At the end of June 24 the Group announced the successful completion of the sale of its FTX claim, achieving a recovery rate of 116% net of broker fees, translating to a return of £28.7 million.
Principal Investments: The quarter saw a material write-down in the Group’s Principal Investments portfolio due to the bankruptcy of Swiss digital bank FlowBank SA, which it has elected to fully impair. The remaining key investments in CoinShares’ portfolio include its long-standing holding in Komainu and its position in WAO Holdings following their merger, which has already resulted in a cash distribution to the Group and shows promising profitability exceeding targets. With the disposal of our 3iQ holding in Q1 realising a gain of £2.3 million, the Group remains focused on prudently managing and optimising its principal investment activities.
Special Dividend: Earlier this year, CoinShares announced that its Board of Directors voted to amend the dividend policy and commence shareholder distributions. In light of the recent FTX claim recovery, the Board has now decided to pay a special dividend, recognising the longstanding trust of shareholders.

CoinShares Announces Special Dividend Distribution Following Recovery of FTX Claim

22 July 2024 | SAINT HELIER, Jersey | CoinShares International Limited (“CoinShares'' or “the Company”) (Nasdaq Stockholm: CS; US OTCQX: CNSRF).

Further to the announcement dated 12 July 2024 regarding the decision to distribute a special dividend following the sale of the Group’s FTX claim, the Company now provides some additional details on the forthcoming payment (“Special Dividend”).

As previously stated, the proceeds received following the sale of the FTX claim stand at USD 36,410,210, of which USD 31,410,210 (approximately GBP 24,276,951) will be distributed in the Special Dividend.

The Special Dividend will be paid in conjunction with Tranche 3 of the Group’s forthcoming regular dividend payment, introduced earlier this year (“Regular Dividend”).

The details for the remaining two Regular Dividend payments for 2024 in respect of the financial performance of 2023 are as follows:

The total amount to be paid together with Tranche 3 on or around 3 October 2024 will be the combined amount of the Special Dividend (USD 31,410,210 converted into GBP at the prevailing USD/GBP rate) and Regular Dividend (GBP 2,312,623). A further announcement will be made clarifying the dividend per share upon finalisation of the payment.

In accordance with Article 115(4) of the Companies (Jersey) Law 1991, each payment will be subject to an assessment of the financial health of the Group by its Board.

Earlier this year, the Company introduced a quarterly dividend policy, reflecting its strategic focus on balancing growth and achieving profitability with rewarding its shareholders and promoting the Company as a dividend paying stock. In light of the recent retrieval of our FTX claim with a recovery of 116%, the Board of Directors has now decided to distribute a special dividend.

This has resulted in an impairment charge of £21,813,042.

As previously announced, the Group’s exposure to FlowBank SA as a customer is immaterial, with deposits totalling approximately £100,000.

There is no impact on the Group’s operation, products or clients.

CoinShares Announces Q1 2024 Results: Achieving Its Most Successful Quarter in Company History

31 May 2024 | SAINT HELIER, Jersey | CoinShares International Limited ("CoinShares" or the "Company") (Nasdaq Stockholm: CS; US OTCQX: CNSRF), Europe's leading alternative asset manager specialising in digital assets, is pleased to announce that all of the resolutions proposed at the Annual General Meeting ("AGM") of the Company, held today, 31 May 2024, were duly passed via poll.

The Company's Board of Directors wished to highlight the following:

Resolution 13 – Resolution regarding authorising the Board of Directors to decide on repurchase and transfer of own shares

The AGM resolved that the Board of Directors be authorised to decide on purchases of the company’s own shares in accordance with the following, main terms:

Share repurchases may be made only for the purpose of completing block transactions.
The authorisation may be exercised on one or more occasions before the 2025 Annual General Meeting.
The maximum number of own shares that may be repurchased so that the company’s holding of shares at any given time does not exceed 10% of the total number of shares in the company.
A block transaction is defined as a single transaction that exceeds the “normal market size” of transactions. For the purpose of determining whether a transaction is of “normal market size”, the thresholds for large in scale (LIS) transactions set out in MiFID II are applied.
Payment for the shares shall be made in cash.

In addition, the AGM resolves to authorise the Board of Directors to decide on transfer of own shares, with or without deviation from the shareholders’ preferential rights, in accordance with the following, main terms:

Transfers may be made on (i) Nasdaq Stockholm or (ii) outside of Nasdaq Stockholm in connection with the acquisition of companies, operations, or assets.
The authorisation may be exercised on one or more occasions before the 2025 Annual General Meeting.
The maximum number of shares that may be transferred corresponds to the number of shares held by the company at the point in time of the Board of Directors’ decision on transfer.
Transfers of shares on Nasdaq Stockholm may only be made at a price of no more than 5% above the average trading price of the 5 business days prior to the transfer. For transfers outside of Nasdaq Stockholm, the price shall be set so that the transfer is made at market terms.
Payment for transferred shares may be made in cash, through in-kind payment, or through set-off against claims with the company.

The purpose of the authorisations is to give the Board of Directors greater scope to act and the opportunity to adapt and improve the company’s capital structure and thereby create further shareholder value and take advantage of any attractive acquisition opportunities. The authorisation may also be used in order to enable delivery of shares in connection with employee stock option programs.

The Board of Directors shall have the right to decide on other terms for repurchases and transfers of own shares in accordance with its authorisation. The Board of Directors also has the right to authorise the Chairman of the Board, the Chief Executive Officer, or the person designated by the Board to make such minor adjustments that may be necessary in connection with the execution of the Board’s decision to repurchase or transfer shares.

51,939,239 shares and votes were registered for the AGM, representing 76.77% of the issued share capital as at 17 May 2024.

The number of shares in issue (and total voting rights) at close of business on 17 May 2024 was 67,655,461 ordinary shares carrying one vote each. Therefore, the total voting rights in the Company are 67,655,461.

Notice is hereby given that the Annual General Meeting of CoinShares International Limited (the “Company”) will take place on Friday, 31 May 2024 at 14:00 BST in the form of a hybrid virtual event at 2 Hill Street, St Helier, Jersey, JE2 4UA.

The entire Annual General Meeting will be broadcast live online (audio and video) via Wavecast.io and will be open for all shareholders who are entered in the Company’s stock register on the record day of the Annual General Meeting. The exercise of shareholder rights, in particular the exercise of voting rights, requires registration for the meeting in due time and in the proper form and will be performed by poll during the meeting or by granting power of attorney to Company proxies. The location of the Annual General Meeting for the purposes of the minutes is the Company’s registered office, 2 Hill Street, St Helier, Jersey, JE2 4UA.

RIGHT TO ATTEND THE ANNUAL GENERAL MEETING AND NOTICE

Shareholders wishing to attend the Annual General Meeting must:

on the record date, which is 17 May 2024, be registered in the Company’s share register maintained by Euroclear Sweden AB. Shareholders, whose shares are registered in the name of a nominee, must temporarily register the shares in their own name at Euroclear Sweden AB. Shareholders whose shares are registered in the name of a nominee must, no later than 16 May 2024, via their nominee, temporarily register the shares in their own name in order to be entitled to participate at the general meeting. In order to re-register shares in time, shareholders should make the request via their nominee in good time before this date.

PROPOSALS FOR RESOLUTIONS ITEM 2: OPENING OF THE MEETING AND ELECTION OF CHAIRMAN OF THE GENERAL MEETING The Nomination Committee, appointed in accordance with the instruction for the Nomination Committee as resolved by the Annual General Meeting on 20 June 2022 and comprising of the Chairman of Nomination Committee, Michael Carlton (appointed by Daniel Masters), Jean-Frédéric Mognetti (appointed by Mognetti Partners Limited), Paul Davison (appointed by Russell Newton) and Johan Lundberg (representative of the Board of CoinShares International Limited), proposes that Daniel Masters, Chairman, be appointed as the Chair of the Annual General Meeting 2024. ITEM 3: PREPARATION AND APPROVAL OF THE VOTING LIST The voting list proposed for approval is the voting list drawn up by the Company Secretary, based on the register of shareholders provided by Euroclear Sweden AB, shareholders having given notice of participation and being present at the Meeting, and postal votes received. ITEMS 9-11: DETERMINATION OF REMUNERATION TO THE BOARD OF DIRECTORS AND THE AUDITORS, ELECTION OF THE BOARD OF DIRECTORS AND THE AUDITORS AND ELECTION OF THE CHAIRMAN OF THE BOARD OF DIRECTORS The Nomination Committee proposes that: Item 9 The Board of Directors shall consist of 6 directors and that the Company should have one registered public auditor’s firm as auditor. Item 10 Remuneration to the Board of Directors, which remain unchanged from the previous year, shall be paid to the Board of Directors in the amount of GBP 50,000 to each of the non-employed Directors, which includes all committee membership and committee chair positions, and GBP 125,000 to the Chairman provided that the Chairman is not an employee. Remuneration to the Auditor be paid in accordance with approved invoices. Item 11 For the period up to the end of the Annual General Meeting in 2025, Jean-Marie Mognetti, Carsten Køppen, Johan Lundberg, Viktor Fritzén and Christine Rankin be re-elected as members of the Board of Directors and that Daniel Masters be re-elected as the Chairman of the Board. The audit firm Baker Tilley Channel Islands Limited be re-elected as the Company’s auditor for the period up to the end of the Annual General Meeting in 2025. The Nomination Committee’s proposal is in line with the Audit and Risk Committee’s recommendation. Information regarding the candidates nominated by the Nomination Committee for re-election to the Board of Directors is available on the Company’s website under the Investor Relations section. ITEM 12: RESOLUTION ON APPROVAL OF THE BOARD OF DIRECTOR’S REMUNERATION REPORT Under the Swedish Corporate Governance Code, the Board of Director’s is required to prepare a report for each financial year regarding paid and outstanding remuneration to Board members, the CEO and the deputy CEO who are covered by the guidelines. As the Company has no deputy CEO and the Board members do not receive any remuneration other than that decided by the general meeting, the report for the financial year 2023 only covers the Company's CEO. According to the Swedish Corporate Governance Board's rules on remuneration to senior executives and on incentive programs, the report must contain an overview of each of the outstanding and concluded incentive programs completed during the year. The Board of Directors suggests that the Annual General Meeting approve the remuneration report for the financial year 2023. ITEM 13: RESOLUTION REGARDING AUTHORISING THE BOARD OF DIRECTORS TO DECIDE ON REPURCHASE AND TRANSFER OF OWN SHARES The Board of Directors proposes that the Annual General Meeting resolves to authorise the Board of Directors to decide on purchases of the Company’s own shares in accordance with the following, main terms:

Share repurchases may be made only for the purposes of completing block transactions.
The authorisation may be exercised on one or more occasions before the 2025 Annual General Meeting.
The maximum number of own shares that may be repurchased so that the Company’s holding of shares at any given time does not exceed 10% of the total number of shares in the Company.
A block transaction is defined as a single transaction that exceeds the "normal market size" of transactions. For the purpose of determining whether a transaction is of "normal market size", the thresholds for large in scale (LIS) transactions set out in MiFID II are applied.
Payment for the shares shall be made in cash.

In addition, the Board of Directors proposes that the Annual General Meeting resolves to authorise the Board of Directors to decide on transfer of own shares, with or without deviation from the shareholders’ preferential rights, in accordance with the following, main terms:

Transfers may be made on (i) Nasdaq Stockholm or (ii) outside of Nasdaq Stockholm in connection with the acquisition of companies, operations, or assets.
The authorisation may be exercised on one or more occasions before the 2025 Annual General Meeting.
The maximum number of shares that may be transferred corresponds to the number of shares held by the Company at the point in time of the Board of Directors’ decision on transfer.
Transfers of shares on Nasdaq Stockholm may only be made at a price of no more than 5% above the average trading price of the 5 business days prior to the transfer. For transfers outside of Nasdaq Stockholm, the price shall be set so that the transfer is made at market terms, except for delivery of shares in connection with employee stock option programs.
Payment for transferred shares may be made in cash, through in-kind payment, or through set-off against claims with the Company.

The purpose of the authorisations is to give the Board of Directors greater scope to act and the opportunity to adapt and improve the Company’s capital structure and thereby create further shareholder value and take advantage of any attractive acquisition opportunities. The authorisation may also be used in order to enable delivery of shares in connection with employee stock option programs. The Board of Directors shall have the right to decide on other terms for repurchases and transfers of own shares in accordance with its authorisation. The Board of Directors also has the right to authorise the chairman of the Board, the chief executive officer, or the person designated by the Board to make such minor adjustments that may be necessary in connection with the execution of the Board’s decision to repurchase or transfer shares. A valid resolution in favour of the Board’s proposal requires the approval of shareholders with at least two-thirds of the votes and shares represented at the Annual General Meeting. NUMBER OF SHARES AND VOTES The total number of shares in the Company as of the date hereof amounts to 67,655,461 shares, with a corresponding number of votes. The Company holds 1,147,233 own shares. FURTHER INFORMATION Copies of accounts, audit report, remuneration report, proxy form, complete proposals and all other relevant documents are made available on the Company’s website at least four weeks in advance of the Annual General Meeting. CoinShares Resolves on Dividend Distribution for the financial year 2023

30th April 2024 | SAINT HELIER, Jersey | CoinShares International Limited (“CoinShares” or “the Company”) (Nasdaq Stockholm: CS;US OTCQX: CNSRF), the leading European investment company specialising in digital assets, today published its 2023 Annual Report, providing comprehensive and detailed information on the firm, its financial performance, its strategy, corporate governance and the industry and market for the 2023 financial year. 2023 Financial Highlights

Total revenue, gains and other income of £85.7 million (2022: £72.2 million), of which:
- Asset management fees of £43.0 million (2022: £50.1 million)
- Capital markets gains and other income of £39.0 million (2022: £26.1 million)
- Principal investment gains of £3.7 million (2022: loss of £4.9 million)
Adjusted EBITDA of £57.3 million (2022: Adjusted EBITDA loss of £6.8 million).
Total comprehensive income for the year of £38.4 million (2022: £2.9 million).
Net asset position of the Group as at 31st December 2023 of £239.2 million (December 2022: £203.7 million).

2023 Business Overview

Asset Management:

2023 saw gross revenue generated from XBT Provider of £38.9 million (2022: £46.0 million), with CoinShares Physical posting gross revenue of £2.7 million (2022: £2.3 million). The Group’s BLOCK Index generated fees of £1.4 million (2022: £1.9 million).

Reflecting the overall success of these initiatives, the total revenue, gains, and other income for the year amounted to £43.0 million.

Capital Markets & Hedge Fund Solutions:

The total notional traded by CoinShares Capital Markets in 2023 reduced to $8.8 billion (2022: $15.0 billion). Gains and income generated by the Capital Markets team was £39.0 million.

Strategy

In 2023, our strategic focus on innovation and expansion reinforced our leadership in the digital asset space through strategic acquisitions, partnerships, and product diversification. Looking ahead to 2024, our strategy encompasses enhancing our presence in Europe by extending the XBT Provider product line and increasing market penetration through targeted marketing and a strategic rebranding aligned with the CoinShares mother brand. We are also expanding our footprint in the European markets like France and Italy, emphasising competitive management fees and transparent staking rewards. Globally, our acquisition of Valkyrie’s U.S. ETF business marks a significant step in entering the U.S. market, aiming to introduce sophisticated products such as the WGMI ETF and the BTFX. This expansion is coupled with a focus on creating advanced financial products that blend the sophistication of hedge funds with the accessibility of ETFs, leveraging our deep expertise in digital assets.
