CoinShares announces issue of options under the Employee Incentive Plan

20 March 2024 | SAINT HELIER, Jersey | CoinShares International Limited ("CoinShares" or the "Company") (Nasdaq Stockholm Market: CS;US OTCQX: CNSRF), Europe's leading alternative asset manager specialising in digital assets has today granted 115,000 options (the “Options”) over ordinary shares of £0.000495 par value each (“Ordinary Shares”). The Options have been granted under the Company’s Employee Incentive Plan (“EIP”) as part of the staff remuneration for the financial year ended 31 December 2023, as approved by the Board on 19 March 2024.

The 115,000 Options granted represent 0.17% of the issued share capital of the Company, bringing the total number of shares currently under option in issue to 3,779,431 (5.29% of the issued share capital of the Company).

The vesting date of the Options granted shall be 20 March 2027, being three years from the date of grant. The exercise price of the Options is SEK 50.4 per Ordinary Share.

No options were granted under the EIP to persons discharging managerial responsibilities for the Company.

12th March 2024 | SAINT HELIER, Jersey | CoinShares International Limited (“CoinShares” or “the Company”) (Nasdaq Stockholm: CS;US OTCQX: CNSRF), the leading European investment company specialising in digital assets, today announced the completion of its acquisition of Valkyrie Funds LLC (“Valkyrie”), the investment advisory business of Valkyrie Investments Inc. (“Valkyrie Investments”), as well as the Sponsor rights to the Valkyrie Bitcoin Fund, the physically-backed Bitcoin ETF. With the addition of approximately Valkyrie’s $530 million of assets under management (“AUM”), CoinShares’ AUM has increased to approximately $7.3 billion globally as of 11th March 2024. This pivotal move significantly accelerates CoinShares' expansion into the U.S. market and is a further milestone towards building a global asset management franchise.

As previously announced, CoinShares has held an option to acquire Valkyrie since November 2023, which was exercised following Valkyrie Investments’ launch of Valkyrie Bitcoin Fund in January 2024. The close of the acquisition enhances CoinShares' deep commitment to Valkyrie's growth and success while also promoting the creation of cutting-edge digital asset investment solutions.

Looking ahead, CoinShares plans to use the Valkyrie ETF infrastructure to develop its U.S. asset management business, with a clear focus on product innovation and market differentiation. The new platform will operate as a forward-looking thematic asset manager for the U.S. market, leaning on the success of unique thematic products such as $WGMI — the highest-performing non-leveraged ETF in 2023 across all sectors — and the newly introduced $BTFX, a 2x leveraged bitcoin futures ETF. On 12th March 2024 CoinShares and Valkyrie Investments Inc. signed and closed the definitive agreements completing CoinShares acquisition of Valkyrie Funds LLC, the U.S. digital asset manager's investment advisory business specialising in actively managed cryptocurrency exchange-traded funds. The final purchase price, which is settled at the end of a three-year earnout period, depends on the financial results of the acquired business. The definitive agreements contain customary vendor and purchaser representations.

The Board of Directors’ resolution to implement the share buy-back program was made after the Board's review of the Company's capital structure and was implemented for the purposes of reducing the capital of the Company.

Following the announcement that the Company has adopted an amended dividend policy, the Board of Directors has resolved to cancel 1,196,501 treasury shares, which were acquired through share buy-backs up to 07 February 2024.

The cancellation of own shares will be registered with Euroclear Sweden and the Company’s Registrar as soon as possible. After the cancellation, the total number of shares will be CoinShares is 66,458,960 and the total number of votes attached to the shares will be 66,458,960. Following registration of the cancellation, the Company will hold no treasury shares.

Dividend policy

The board of directors has adopted an amended dividend policy. While we remain committed to growth, we also wish to reward our shareholders for their trust and support.

The policy stipulates that the annual dividend payment will be between 20% and 40% of the Group’s annual total comprehensive income, excluding currency translation differences.

The annual dividend payment will be made payable in SEK in four quarterly instalments via the Euroclear Sweden settlement system, subject to an assessment by the Board of the financial health and cash requirements of the Group prior to each payment being made.

CoinShares maintains a variety of strong banking relationships globally, however the ability to pay a dividend remains subject to the successful establishment of the requisite Swedish banking relationship to facilitate payment through Euroclear. A further update will be made in due course.

Concluding remarks

The performance for Q4 marks the Group’s strongest quarter since the end of 2021 and has contributed to 2023 being the second strongest year in the Group’s history after 2021. CoinShares has confirmed the exercise of its strategic option to acquire Valkyrie Funds, thereby bolstering its entrance into the U.S. market.

12th January 2023 | SAINT HELIER, Jersey | CoinShares International Limited (“CoinShares'' or “the Company”) (Nasdaq Stockholm: CS;US OTCQX: CNSRF), today announced it has exercised the option to acquire Valkyrie Funds LLC (“Valkyrie Funds”), the U.S. digital asset manager's investment advisory business specialising in actively managed cryptocurrency exchange-traded funds, from Valkyrie Investments Inc. ("Valkyrie Investments").

CoinShares' decision to exercise this option comes as a direct result of SEC approval for the issuance of Valkyrie’s spot Bitcoin ETF, The Valkyrie Bitcoin Fund (BRRR), which commenced trading on Thursday 11th January 2024 at 09:30 am ET on Nasdaq as part of the first cohort of issuers for such products in the U.S. This move aligns with the positive developments in the US regulatory landscape and CoinShares' strategy to expand its digital asset offerings in the U.S. market.

Upon completion, the acquisition is expected to bolster CoinShares' existing AUM, currently at $4.5 billion by approximately $110 million, being the current level of AUM within Valkyrie’s existing ETF products: The Valkyrie Bitcoin Fund (Nasdaq: BRRR), The Valkyrie Bitcoin and Ether Strategy ETF (Nasdaq: BTF) and The Valkyrie Bitcoin Miners ETF (Nasdaq: WGMI).

The exercise of this option signifies a pivotal step in the acquisition process, clearly demonstrating CoinShares' commitment to acquiring Valkyrie Funds. Once finalised, this will lead to the direct integration of Valkyrie’s’ funds and operations into the CoinShares group.
